By accessing or using noideasworld.net ("the Website"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of the Terms, you must immediately discontinue use of the Website and any of its services.

NOIDEASWORLD ("we," "us," or "our") reserves the right to modify these Terms at any time without prior notice. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Website following any change constitutes your acceptance of the revised Terms.

These Terms apply to all visitors, users, subscribers, and purchasers who access or use any service offered through the Website, including but not limited to the Supply Shop, the Archive, the Beats catalogue, NOIDEAS University, Friends of NOIDEA, Network Services, and the Capital programme.

You must be at least 13 years of age to use the Website. By using the Website, you represent that you meet this requirement. If you are under 18, a parent or legal guardian must have reviewed and agreed to these Terms on your behalf.

When you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@noideasworld.net of any unauthorised use or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are otherwise used in a manner inconsistent with the spirit of the platform.

The Supply Shop (/supply) offers physical and digital merchandise, tools, and creative goods. All purchases are processed in USD via our secure payment provider, Stripe.

All sales through the Supply Shop are final. Refunds or exchanges are only issued in the following circumstances: (a) you received a defective or damaged physical item — you must report the defect within 48 hours of confirmed delivery with photographic evidence sent to contact@noideasworld.net; or (b) a duplicate charge was applied to your payment method.

For physical goods, NOIDEASWORLD is not responsible for delays, loss, or damage caused by third-party shipping carriers once an item has been handed off for delivery. Risk of loss passes to you upon our delivery to the carrier. Applicable sales tax will be calculated and displayed at checkout based on your shipping address.

Digital goods sold through the Supply Shop are delivered electronically and are non-refundable once access or download has been granted. By completing a purchase you confirm you have reviewed your order and understand its contents.

Friends of NOIDEA is a recurring membership subscription billed at $5.00 USD per month ("Subscription"). By subscribing, you authorise NOIDEASWORLD to charge your payment method on a monthly basis until you cancel. All billing is processed by Stripe.

Your Subscription begins on the date of your first successful payment. Access continues for the full billing period in which you cancel; you will not be charged again after cancellation takes effect. To cancel, navigate to your account settings or email contact@noideasworld.net prior to your next renewal date.

Subscription fees are non-refundable. We do not issue prorated refunds for any unused portion of a billing period.

The Subscription grants access to member-only features, including the ability to upload content to the platform. You retain full ownership of all original content you upload. By uploading, you grant NOIDEASWORLD a non-exclusive, royalty-free, worldwide licence to display, stream, and distribute your uploaded content solely within the platform and in connection with the promotion of NOIDEASWORLD and the Friends of NOIDEA programme.

You represent that any content you upload is original or that you hold all necessary rights, licences, and permissions to share it. You may not upload content that: (a) infringes any third party's intellectual property rights; (b) contains explicit, obscene, or defamatory material; (c) violates any applicable law; or (d) constitutes spam, malware, or unsolicited commercial promotion.

NOIDEASWORLD reserves the right to remove any uploaded content at its sole discretion, particularly where it violates these Terms, community standards, or applicable copyright law. Repeat violations may result in termination of your Subscription without refund.

We reserve the right to modify Subscription features or pricing with at least 30 days' notice via email, or to discontinue the programme entirely. If discontinued, active subscribers will not be charged beyond the current billing period.

The Archive (/archive) offers downloadable tracks and audio content on a pay-what-you-want ("PWTYW") basis. You may enter any amount, including $0.00 where permitted, to download a track. Payment, where made, is processed via Stripe.

All Archive downloads are for personal, non-commercial use only unless a separate written licence is granted by NOIDEASWORLD. You may not resell, redistribute, publicly broadcast, sync, or commercially exploit any Archive content without express written permission.

PWTYW transactions are final. Because you determine the price, no refunds will be issued for Archive downloads. By completing a download, you acknowledge that the content is delivered digitally and accept it in its current state.

Archive content is the exclusive intellectual property of NOIDEASWORLD and/or the credited producer. Downloading a track does not transfer any ownership or licensing rights beyond the personal use licence described in this section. Producer credits displayed in the track listing must be respected; misrepresentation or removal of credits is a violation of these Terms.

The Beats catalogue (/beats) includes instrumentals available for licence. The Beats Basic Lease ("Basic Lease") is available for a one-time purchase of $1,000.00 USD, processed via Stripe.

The Basic Lease is a non-exclusive licence. It grants the buyer ("Licensee") the right to use the licensed instrumental in up to one (1) commercial release, including streaming platforms, digital distribution, and commercial sale. The licence is valid for the life of that release.

All releases using a licensed instrumental must credit NOIDEA as producer. The credit must read "Produced by NOIDEA" or "Prod. NOIDEA" in the release metadata, liner notes, and any accompanying promotional materials where producer credits are displayed.

The Licensee may not: (a) resell, sub-licence, or transfer the licence to any third party; (b) use the instrumental in more than one commercial release without purchasing an additional licence; (c) claim ownership of the underlying composition; or (d) register the composition with any performing rights organisation (PRO) without prior written agreement from NOIDEASWORLD.

NOIDEASWORLD retains all ownership rights to the composition, including the master recording. The producer's right to re-licence the same instrumental to other parties is unaffected by the Basic Lease. Exclusive licensing is available by separate written agreement — contact contact@noideasworld.net.

Beat licence purchases are final and non-refundable. Upon successful payment, the Licensee will receive a digital download of the licensed instrumental and a licence confirmation document. It is the Licensee's responsibility to retain this documentation.

Failure to comply with the credit requirement or any other term of the Basic Lease constitutes a material breach and may result in revocation of the licence, demand for damages, and/or further legal action.

NOIDEAS University (/university) offers online educational content, including video lessons, course materials, and downloadable resources related to music production and creative practice. Access is available via a monthly subscription billed at $500.00 USD per month ("Course Subscription"), processed by Stripe.

By subscribing, you authorise NOIDEASWORLD to charge your payment method on a monthly basis until you cancel. Cancellation may be completed via your account settings or by emailing contact@noideasworld.net before your next renewal date. Access continues until the end of the current billing period; no prorated refunds are issued.

All course materials — including video lessons, PDF resources, downloadable files, and written content — are licensed to you for personal educational use only. You may not share, redistribute, resell, publicly display, screen-record for distribution, or reproduce course materials in any form without express written permission from NOIDEASWORLD.

Completion of a course or module may result in the issuance of a certificate of completion. Certificates are for personal and promotional use only and do not confer academic credentials or professional qualifications recognised by any external institution.

NOIDEASWORLD reserves the right to update, modify, or remove course content at any time. We do not guarantee that any specific lesson, module, or resource will remain available for the duration of your subscription. Changes to the course catalogue do not entitle subscribers to a refund.

We may offer payment plans for access to individual courses or bundles. The terms of any payment plan, including total price and instalment schedule, will be presented at checkout and form a binding agreement upon purchase.

The Network page (/network) offers three categories of professional creative services: (i) Web Design ($15,000); (ii) Custom Music Production ($5,000); and (iii) Feature / Collaboration ($5,000). All pricing is in USD. Payment plans may be available on individual engagements as stated at the time of booking.

Engaging any Network service initiates a direct commercial relationship with NOIDEASWORLD. A separate project agreement, scope of work, or engagement letter will be provided and must be executed prior to commencement of services. These Terms govern general platform use; the project agreement governs specific deliverables, timelines, revision rounds, and payment schedules.

Web Design engagements include brand discovery, custom UI/UX design, full-stack development, mobile-responsive build, domain and hosting setup, and 30 days of post-launch support as described on the service page. Any scope beyond what is expressly listed is subject to separate agreement and additional fees.

Custom Music Production engagements result in a bespoke original composition. Upon receipt of full payment, exclusive ownership of the final master and composition transfers to the commissioning party ("Client"), subject to any sync licensing consultation terms agreed in writing. NOIDEASWORLD retains the right to reference the work in its portfolio unless the Client requests otherwise in writing at the time of engagement.

Feature / Collaboration engagements grant the Client a cleared, commercial-release-ready recording of the agreed creative contribution (verse, hook, or collaboration). NOIDEASWORLD retains its writer's share and performance royalties unless explicitly waived in writing. The Client must provide co-written credit where applicable as agreed in the project agreement.

All Network enquiries are subject to availability. Submission of an enquiry does not constitute a binding agreement. NOIDEASWORLD reserves the right to decline any engagement at its discretion. Deposits paid to secure a booking are non-refundable unless NOIDEASWORLD is unable to fulfil the engagement.

The Capital programme (/capital) allows individuals ("Investors") to purchase a proportional equity stake in individual songs within the NOIDEASWORLD catalogue. Each 1% stake in a song is offered at $1,000.00 USD. A maximum of 49% of any individual song is available for purchase. All transactions are processed via Stripe. Payment plans may be available as stated at the time of investment.

This is an equity ownership arrangement, not a donation, pre-sale, or crowdfunding contribution. By purchasing a stake, the Investor acquires a proportional right to receive income generated by the specific song purchased — including streaming royalties, sync licensing fees, placements, and any other commercial exploitation of the work — in direct proportion to their ownership percentage.

Equity ownership is lifetime and does not expire. The Investor's right to income continues for as long as the song generates revenue through any channel, unless the Investor transfers or sells their stake by separate written agreement with NOIDEASWORLD.

Income distributions to Investors will be made in accordance with the schedule and method agreed at the time of purchase. NOIDEASWORLD does not guarantee any minimum level of earnings or return on investment. Past performance of any song or the catalogue as a whole is not indicative of future results.

NOIDEASWORLD retains full creative, administrative, and operational control over all songs in the catalogue, including decisions relating to distribution, licensing, marketing, re-recording, and any other exploitation. The Investor's equity stake is a financial interest only and does not confer any right to influence creative decisions, claim writing or production credits, or register the work with any PRO.

IMPORTANT RISK DISCLOSURE: Participation in the Capital programme involves financial risk. The value of music rights can fluctuate significantly. You may receive less than your initial investment or nothing at all. NOIDEASWORLD is not a registered investment adviser and this programme does not constitute regulated financial advice. You should seek independent legal and financial advice before participating. By purchasing equity, you represent that you understand and accept these risks.

Equity purchases are final and non-refundable. A formal equity agreement will be issued to the Investor upon completion of purchase and must be retained as proof of ownership.

All content on the Website — including but not limited to text, graphics, logos, images, audio recordings, video, software, course materials, and compilations — is the property of NOIDEASWORLD or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws.

Nothing on the Website grants you any licence or right to use any trademark, trade name, logo, or service mark of NOIDEASWORLD without our express written permission.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Website except as permitted by these Terms or with our express prior written consent.

You agree not to use the Website for any unlawful purpose or in any manner that violates these Terms. Without limitation, you may not:

(a) Use the Website in any manner that could disable, overburden, damage, or impair it, or interfere with any other party's use; (b) Attempt to gain unauthorised access to any portion of the Website, server, or connected database; (c) Use any automated tool, bot, scraper, or data-mining device to access the Website or collect content from it; (d) Impersonate any person or entity, or falsely represent your affiliation with any person or entity; (e) Upload or transmit viruses, malware, or any other harmful code; (f) Harvest or collect personal information of other users without their consent.

We reserve the right to report illegal activity to appropriate law enforcement authorities and to cooperate fully with those authorities.

NOIDEASWORLD collects personal information only to the extent necessary to process orders, provide subscription and investment services, and improve the Website experience. This may include your name, email address, billing address, and payment details (the latter handled exclusively by Stripe and never stored on our servers).

We do not sell, rent, or share your personal data with third parties for marketing purposes. We may share data with trusted service providers who assist in operating the Website (e.g. Stripe for payments, Cloudflare for CDN and security), subject to confidentiality agreements.

The Website may use analytics tools to understand aggregate usage patterns. By using the Website, you consent to this anonymised data collection. For questions about your data or to request deletion, contact us at contact@noideasworld.net.

THE WEBSITE AND ALL CONTENT, PRODUCTS, AND SERVICES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NOIDEASWORLD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components, or that any content on the Website is accurate or complete.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOIDEASWORLD AND ITS OWNERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR ANY PRODUCT OR SERVICE PURCHASED THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

These Terms shall be governed by and construed in accordance with applicable law without regard to conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Website shall first be attempted to be resolved through good-faith negotiation. If the parties are unable to resolve the dispute informally within 30 days, either party may pursue any remedy available at law or in equity.

NOIDEASWORLD reserves the right to modify, suspend, or discontinue any part of the Website or any product or service offering at any time. Where modifications affect pricing or subscription terms, we will provide at least 30 days' advance notice by email to affected users.

We are not liable to you or any third party for any modification, suspension, or discontinuation of services.
